This paper approaches the difficulties faced by Family Firms that result from an increase in their management complexity and control when they are taken over by their successors in the second generation. This work not only describes their analytical complexity by means of the “Model of Three Circles”, but also it approaches the difficulty of opportunistic behaviors by some of their members from the perspective of the “Economic Theory of Agency.” As a result, it offers a theoretical framework that allows the identification of the commonest agency relations at this stage; and an attempt to formalize the objective functions of decisor agents where key variables affecting the well-being of each individual are included. Finally, some basic guidelines that an appropriate incentive system should consider to subject the opportunist agents to optimization problems that undermine the agency costs and bridge the gap between the effective and potential profits of the firms.
