La formación progresiva del contrato: modificaciones a la oferta, contraoferta y acuerdo parcial en el nuevo Derecho Privado argentino

Abstract

El trabajo aborda la formación progresiva del contrato en relación con los casos en que el destinatario/aceptante introduce modificaciones a la oferta. Se inicia planteando esquemáticamente las diferentes hipótesis posibles y luego se repasan las soluciones del derecho comparado y el derecho global. A continuación, se analizan detalladamente las normas incorporadas en el nuevo Código Civil y Comercial, destacando las dificultades de interpretar conjunta y armónicamente lo dispuesto en los artículos 978 y 982 de dicho cuerpo normativo. Sobre el final, se ensaya un esquema general que contempla los diferentes casos que nacen a partir de la introducción de modificaciones a los términos originales de la oferta y se establecen los efectos de cada uno de ellos en el nuevo Derecho Privado argentino.

This essay discusses the progressive formation of the contract in relation with the cases in which the accepting party makes amendments to the offer. The author begins by pointing out the different possible hypotheses in the light of Comparative Law and Global Law. Afterwards, he analyzes the new Civil and Commercial Code regulation, focusing on the difficulties that may arise out of making an overall interpretation of Sections 978 and 982 of such legal body. Finally, the author makes a general scheme that contemplates the different cases that may occur where changes are made to the original terms of the offer, and the effects derived from each case pursuant to the new Argentine Private Law.
